The Lincoln Republican Committee Constitution and By-Laws

Adopted October 26, 2003

 

                                  

Article I

 

NAME

 

Section 1. The name of this committee shall be “The Lincoln Republican Town Committee.” (“Town Committee.”)

 

Article II

 

OBJECT

 

Section 1. The object of the Town Committee shall be to conduct the affairs of the Republican Party in the Town of Lincoln, Rhode Island: to endorse candidates and prepare platforms; raise funds; and generally to perform all the functions required in the Rhode Island Election Laws or otherwise usual to a local political party committee.

 

Section 2. It shall endeavor to promote high standards of Government in the field of Administration, Education, and Civic Affairs.

 

Section 3. It shall endeavor to contribute constructive assistance to the Republican State and National Committees.

 

Article III

 

MEMBERSHIP

 

Section 1. Any person who shall fulfill the requirements of the qualified voter of the Town of Lincoln and who shall also fulfill the qualifications of the state laws as regards to primaries shall be eligible to membership, in accordance with R.I.G.L. § 17-12-6.

 

Section 2. The Town Committee shall consist of up to 100 members.


Section 3: The Town Committee from time to time may elect, by a majority vote of the quorum constituting a regularly assembled town committee meeting, an individual(s) to the position of honorary member(s) of the Lincoln Republican Town Committee, as a means of bestowing an honor on such individuals. The position will carry no voting or elective privileges. It is intended to recognize individuals for their exemplary public service contributions, as well as contributions to the Republican Party. Article IV

 

ELECTION OF OFFICERS

 

Section 1. The Town Committee shall, at its biennial organization meeting, in January of each odd numbered year, elect a Chairman, Vice Chairman, Secretary, and Treasurer, from its membership, to hold office until the next biennial organization meeting of the Town Committee or until their respective successors are elected and qualified (as defined in Article IX).

 

Section 2. The Executive Committee shall at the November meeting, preceding the biennial organization meeting, appoint a nominating committee consisting of five members, one from each council district (“Nominating Committee”).

 

Section 3. It shall be the responsibility of the Nominating Committee to seek out candidates for offices of the Town Committee and make recommendations to the Town Committee at its biennial organization meeting.

 

Section 4. Nominations may also be made from the floor and be open to all voting members of the Town Committee.

 

Section 5. A paper ballot shall be used in all elections of officers of the Town Committee and candidates must receive a simple plurality of all members of the Town Committee present and voting at the meeting.

 

Section 6. Vacancies in any of the offices of the Town Committee may be filled for the un-expired term by an election held at any meeting of the Town Committee. Notification of the election will be announced in the call of the meeting.

 

Article V

 

DUTIES OF OFFICERS

 

Section 1. The Chairman shall preside at all meetings of the Town Committee and shall be the Chairman of the Executive Committee. He shall also serve as ex-officio member of all standing committees.

 

Section 2. In the absence of the Chairman, the Vice-Chairman shall act as Chairman and perform all the duties of the Chairman. He shall serve as a member of the Executive Committee.

 

Section 3. The Secretary shall keep the records of the Town Committee and of the Executive Committee. He shall keep a copy of the Constitution and By-Laws and have it available at all meetings of the Executive Committee and Town Committee. He shall maintain a complete record of the members of the Town Committee and he shall notify all members by mail at least 7 days in advance of the date, time, and place of the meeting of the Town Committee. He shall serve as a member of the Executive Committee.

 

Section 4. The Treasurer shall receive and disburse the funds of the Town Committee. He shall keep and preserve proper vouchers and books of account, which shall be open to inspection by the members of the Executive Committee. These records shall be subject to audit at any time by the Executive Committee and shall be audited in the month of January of every year. The funds shall be deposited in a bank in the name of the Town Committee and may be withdrawn only by signatures of the Chairman and the Treasurer, with approval of the Finance Committee (as defined in Article IX). The Treasurer shall submit a report of the receipts and expenditures and balance on hand at each meeting and upon request of the Chairman. The Treasurer shall audit, at least once a year, the accounts of all District Committees (as defined in Article VIII) and report the results of his audit to the Executive Committee. He shall have other duties as the Executive Committee may delegate to him. He shall be a member of the Executive Committee.

 

Article VI

 

ELECTION OF STATE CENTRAL COMMITTEE MEMBERS

 

Section 1. Members of the Town Committee shall be called together by the Chairman for the purpose of electing three State Central Committee members and three alternates between the 10th and 25th of February in the odd number years; and such members shall serve for two years or until their respective successors are elected. Any vacancy in the membership of the State Central Committee from this Town shall be filled by the Town Committee within 90 days.

 

Section 2. To be elected to the State Central Committee, a candidate must receive a simple plurality of all members of the Town Committee present and voting at the meeting.

 

Article VII

 

ELECTION OF DELEGATES TO STATE CONVENTIONS

 

Section 1. The Town Committee will nominate and elect delegates as the occasion should arise in accordance with the General Laws of the State of Rhode Island and the rules of the Rhode Island Republican State Central Committee. Such delegates shall follow the instructions of the Town Committee when casting their respective vote at said conventions; unless the Committee shall by majority vote give leave to the Delegates to vote according to the independent judgment of said Delegates.

 

Section 2. To be elected as a Delegate to the State Convention, a candidate must receive a simple plurality of all members present and voting at the meeting.

 

Article VIII

 

COUNCIL DISTRICT COMMITTEES

(“District Committees”)

 

Section 1. The regularly elected members of the Town Committee from each of the council districts shall meet and elect a District Chairman, Vice-Chairman, Secretary, and Treasurer for the council district in which they reside.

 

Section 2. This election shall take place in February following the biennial January reorganization meeting of the Town Committee. Those elected shall serve for two years or until their respective successors are elected and qualified.

 

Section 3. The Chairman of each District Committee shall be a member of the Executive Committee. In the event the Chairman can not attend an Executive Committee meeting, the Vice-Chairman will serve as his duly authorized representative.

 

Section 4. The District Committee Treasurer shall keep account of all money in the possession of the District Committee.

 

Section 5. Each District Committee shall have not fewer than four meetings per year. Additional meetings may be scheduled by the District Committee as it sees them warranted. Each member of the District Committee will be notified of meetings at least five days in advance of the meetings.

 

Section 6. In the event that a District Committee has held no meetings for the preceding period of six months, the Town Chairman, with the approval of the Town Committee’s executive committee, shall call together the members of the Lincoln Republican Committee from that district to reconstitute a District Committee, and elect the officers of that District Committee, consistent with the election rules stated herein regarding District Committee elections.

 

Article IX

 

EXECUTIVE COMMITTEE

 

Section 1. There shall be an Executive Committee of the Town Committee consisting of the duly elected officers of the Committee and the Chairman of the five District Committees.

 

Section 2. This Committee shall also serve as the Finance Committee and raise and allocate funds of the Town Committee.  The Executive Committee must audit the accounts of the Treasurer of the Town Committee on or about January 1st of each calendar year.

 

Section 3. A meeting of the Executive Committee must be called by the Chairman prior to the Town Committee meetings. The Chairman shall call other meetings of the Executive Committee at any other time he deems appropriate.

 

Section 4. The Chairman of the Town Committee is also the Chairman of the Executive Committee.

 

Section 5. Guests may be invited to the Executive Committee meetings any time with the consent of the Chairman or with the consent of three other members of the Executive Committee.

 

Section 6. A quorum for the Executive Committee meetings shall consist of a majority of the voting members of the Executive Committee.

 

Article X

 

MEETINGS

 

Section 1.  The Chairman of the Town Committee shall call at least six meetings annually of the Town Committee and at such times as it becomes necessary.

 

Section 2. An attendance of fifteen (15) members of the Town Committee shall constitute a quorum.

 

Section 3. All meetings shall be governed by Robert’s Rules of Order.

 

Section 4. Special meetings may be called in the following manner:

  1. By the Chairman;
  2. Upon written request to the Secretary of any fifteen (15) members of the Committee;
  3. By vote of the majority of members present at any regular meeting of the Committee.

 

Article XI

 

ENDORSEMENT OF CANDIDATES

 

Section 1. Nominations for endorsements shall be made from the floor by the District Committees. Nominations for endorsements may also be made from the floor by any member of the Town Committee.

 

Section 2. Any candidate seeking the Republican nomination for Public Office must receive a simple plurality of all members of the Town Committee present and voting at a regular meeting of the Town Committee.

 

Section 3. In the event a member of the Town Committee seeks the endorsement of the Town Committee for any office, elective or appointive, said member shall have no right to participate in the deliberations of the Town Committee on the question of his endorsement; shall have no vote on the question of this endorsement; and shall be required to leave the room while the Town Committee considers the question of his endorsement.

 

Article XII

 

AMENDMENTS

 

Section 1. This Constitution may be amended only as follows:

  1. The proposed amendment must be read at a regular meeting.
  2. Following the presentation of the proposed amendment and at least ten (10) days before the next regular meeting, the Secretary shall send a written notice to all members of the Town Committee stating the proposed amendment and advising that it will be acted upon at the next general meeting.
  3.  An Amendment shall become a part of the Constitution when passed by a two-thirds majority of the members present at a regular meeting; at which a quorum is present; the above two conditions having been fulfilled.
  4. The Chairman shall appoint a committee at least once every five years (No later than January, 2006) for the purpose of reviewing this Constitution. The report of this committee shall be presented to the Town Committee.

 

Section 2. Upon adoption of this Constitution, all other Constitutions and By-Laws or amendments to same shall be void.
